Terms and Conditions

Please read these Terms of Use (“Terms”) carefully before using the hapaSheet Pro service (“Service”) operated by HWS Technologies (“us,” “we,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. Service Description

hapaSheet Pro is a Google Workspace automation tool that enables administrators to perform bulk operations (including user creation, group management, and reporting) directly from a Google Sheet interface via the Google Directory API.

2. User Accounts and Access

a. Licensing: Access to the Service is granted via Admin Seats purchased through the Google Workspace Marketplace. Licensing verification is managed entirely by Google’s official licensing system. 

b. Admin Seats: Access is limited to the number of Admin Seats purchased via the Marketplace. Each Admin Seat must be used by a single, authorized Google Workspace Administrator. 

c. Account Responsibility: You are responsible for safeguarding the credentials you use to access the Service and for any activities or actions under your credentials. You agree to notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. Subscriptions, Payments, and Billing

a. Payment and Subscription Management: All financial transactions, subscription billing, and plan renewals are handled exclusively by the Google Workspace Marketplace and its payment processor. 

b. Pricing: Pricing is determined by the Marketplace listing, currently set at $10 per Admin Seat per year. 

c. Renewals and Cancellation: Subscription renewals, cancellations, and refund policies are governed by the Google Workspace Marketplace terms of service and are managed through your Google Admin Console or Marketplace account. We do not process payments or directly handle billing inquiries.

4. Data Handling and Google Workspace Integration

a. Service Data Access: By installing hapaSheet Pro, you authorize the Service to access and modify data within your Google Workspace domain via the Google Directory API, specifically for executing bulk operations initiated by you within the Google Sheet interface.

 b. No External Storage: We do not permanently store or transfer any of your Google Workspace data (user lists, group data, aliases) outside of your Google Sheets environment and the Google Directory API during operation.

5. Intellectual Property (IP)

a. Our Property: The Service, including all proprietary technology, software, code (such as the Google Apps Script used by hapaSheet Pro), graphics, logos, and content on the website, is and will remain the exclusive property of HWS Technologies. 

b. Your Data: You retain all ownership rights to the Google Workspace data and Google Sheet information that you process using hapaSheet Pro. We do not claim ownership of your operational data.

6. User Responsibilities and Conduct

You agree not to misuse the Service. Specifically, you agree not to:

  • Use the Service to process illegal, harassing, or fraudulent data.

  • Attempt to gain unauthorized access to our Service or systems.

  • Share Admin Seat credentials with any unauthorized person or entity.

  • Violate any terms of service mandated by the Google Workspace Marketplace.

7. Disclaimers and Limitations

a. “As Is” Basis: Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. We expressly disclaim all warranties of any kind, whether express or implied. 

b. API Dependencies: hapaSheet Pro relies on the proper functioning of Google Workspace, Google Sheets, and the Google Directory API. We are not responsible for service interruptions, changes, or limitations imposed by Google on these platforms.

8. Limitation of Liability

In no event shall HWS Technologies, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from 

(i) your access to or use of or inability to access or use the Service; 

(ii) any conduct or content of any third party on the Service; 

(iii) any errors or omissions in the Service; or (iv) any data loss or service disruption related to your Google Workspace.

9. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Subscription access is primarily managed via the Google Workspace Marketplace.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions.
